These general terms and conditions apply to all offers, orders and agreements via www.krijnen-esolutions.com between Krijnen eSolutions BV (hereinafter: “Seller” ) and business customers acting in the exercise of a profession or business (hereinafter: “Customer” or “Reseller” ).

1. General

• 1.1 These general terms and conditions apply to every offer, every agreement and every delivery of products by Seller to Customer.
• 1.2 Deviations are only valid if agreed in writing.
• 1.3 General terms and conditions of the Customer are expressly rejected.

2. Customer registration and acceptance

• 2.1 Only business customers who have been approved as Reseller by Seller can place orders.
• 2.2 Seller reserves the right to refuse customers without giving reasons.
• 2.3 Customer guarantees that the company data provided is correct and up to date.

3. Offers and prices

• 3.1 All offers are without obligation unless stated otherwise.
• 3.2 Prices are exclusive of VAT and shipping costs.
• 3.3 Obvious errors in the offer do not bind the Seller.

4. Orders and agreements

• 4.1 The agreement is concluded after confirmation of the order by the Seller.
• 4.2 Seller may refuse orders (in part).
• 4.3 Cancellation is only possible with written permission.

5. Payment

• 5.1 Prepayment is mandatory via the webshop.
• 5.2 Orders will only be processed after full payment has been received.
• 5.3 In case of late payment, statutory commercial interest is due.
• 5.4 Collection costs are fully borne by the Customer.

6. Delivery and transfer of risk

• 6.1 Delivery will take place at the specified address.
• 6.2 Delivery times are indicative.
• 6.3 Risk of damage or loss passes upon delivery.
• 6.4 Partial delivery is permitted.

7. Retention of title

• 7.1 Products remain the property of Seller until full payment has been made.
• 7.2 Customer may not sell or tax these products prior to payment.

8. Complaints and warranty

• 8.1 Customer must check products immediately upon delivery.
• 8.2 Report complaints about visible defects within 48 hours.
• 8.3 Warranty is limited to manufacturer's warranty.
• 8.4 Returns only after written approval.

9. Right of return and cancellation

• 9.1 No right of withdrawal applies (B2B only).
• 9.2 Returns without authorization will be refused.
• 9.3 Accepted returns may incur charges.

10. Liability

• 10.1 Seller is only liable for direct damage in the event of intent or gross negligence.
• 10.2 Liability is limited to the invoice amount.
• 10.3 No liability for indirect damage or loss of profit.

11. Intellectual property

• 11.1 All content and materials remain the property of Seller or its suppliers.
• 11.2 Unauthorized use or copying is prohibited.

12. Force Majeure

• 12.1 Seller is not liable in the event of force majeure.
• 12.2 Think of: fire, natural disasters, war, pandemics, IT failures, etc.

13. Applicable law and disputes

• 13.1 These terms and conditions are governed by Dutch law.
• 13.2 Disputes will be settled by the competent court in the district of Seller.

14. Final provisions

• 14.1 If any provision is invalid, the remaining provisions will remain in full force.
• 14.2 Seller may change these conditions. The latest version is always available on the website.
